These Terms govern access to OddyOS websites, hosted services, software and related features (the Services), provided by Unite Source LLC (OddyOS, we, us). They include the End-User License Agreement (EULA) in the Software license section. You must be at least 18 and legally able to enter an agreement. You accept through an acceptance control presented by the Services or a signed agreement. Publishing this version does not by itself record your acceptance. If you accept on behalf of a business, you represent that you have authority to bind it. An invited user’s acceptance does not by itself bind their employer to purchases or make them an authorized business signatory.
A signed order form or service agreement controls conflicting commercial terms. A data processing addendum controls conflicting terms about processing personal data on a customer's behalf. The Privacy Policy describes our handling of personal information; it does not expand our license to Customer Data.
Accounts and organizations
Provide accurate account information, protect credentials, use required security controls and promptly report suspected compromise. Use your own account; do not impersonate another user. A business controls membership and business permissions within its workspace, subject to its agreement and applicable law. Different modules may have different permissions and availability.
Connecting personal email does not grant workspace owners, administrators or other members access to that mailbox. Email permissions are separate from workspace administration. The Services may support shared business channels, such as a customer website chat; those channels must be identified as shared.
Software license
Subject to these Terms and your subscription, we grant you a limited, nonexclusive, nontransferable right to use the Services and install supported OddyOS client software on devices you control for your authorized business use. This license ends when your right to access the Services ends. You do not acquire ownership of our software, designs, documentation or trademarks.
Do not resell, sublicense or redistribute our software, remove proprietary notices, circumvent technical access restrictions, or reverse engineer it except where applicable law expressly permits that activity. Open-source components remain governed by their own licenses; these Terms do not reduce those rights. Updates may change supported functions or system requirements. We will identify material changes affecting your agreement as described below.
Customer Data
You or your organization retain rights in content you submit or authorize us to process (Customer Data). You grant us only the rights reasonably necessary to host, process, reproduce, transmit, secure and support Customer Data to provide the features you request and fulfill our legal obligations. You are responsible for having the rights and lawful basis needed to provide that content and direct its processing, including notices to employees, customers and other individuals.
We do not obtain ownership of your communications. Our general permission to operate the Services does not override restrictions applying to Google API data. Our Privacy Policy and any applicable data processing addendum describe data handling in more detail.
Connected email and other providers
Availability depends on the features enabled for your account. This agreement does not activate a connection, grant access to a mailbox, or enable an automation. A feature described here may require a separate release and authorization before it can be used.
You choose which accounts to connect and may connect only accounts you are authorized to use. Before connection, we describe the requested access, the features it enables and how to disconnect. Google or another provider may also ask you to authorize access under its own terms. Signing into OddyOS does not automatically connect your mailbox.
When you direct OddyOS to send a message, you authorize transmission from the specific connected identity shown in the composer. You remain responsible for reviewing the sender, recipients, content and attachments. Provider-confirmed sending is not a guarantee of delivery or reading. Access does not authorize us to send independent marketing messages as you. Any future automated sending requires a separately enabled, clearly described authorization and controls.
You may disconnect through OddyOS or revoke access at the provider. Disconnection stops future synchronization and sending once processed. It does not recall mail already sent or necessarily delete copies already stored; deletion choices and retention are described in the Privacy Policy and applicable agreement. Third-party availability, quotas, restrictions and provider policy changes may affect connected features.
Acceptable use
Do not use the Services to violate law or another person's rights, send unlawful spam or deceptive messages, conduct phishing, distribute malware, bypass access controls, extract data without authorization, or materially disrupt the Services. Do not connect someone else's mailbox using administrative authority as a substitute for the connection permissions required by the Services.
Do not submit regulated information requiring special safeguards unless we have expressly agreed in writing to support that use. The Services are not an emergency response system. If AI features are separately made available, review their outputs before acting; do not treat them as professional advice or assume that enabling email also enables AI processing of email.
Fees and subscriptions
Charges, billing frequency, renewal, cancellation and any usage limits must be stated in the accepted order or checkout before purchase. We may not charge a different payer or materially change an accepted allocation without the required authorization. Taxes and refunds follow the accepted commercial terms and applicable law. No paid commitment is created solely by accepting a workspace invitation.
Availability and beta features
We use reasonable efforts to operate the Services but do not promise uninterrupted or error-free operation except for any express service commitment in your signed agreement. Beta features may change and have additional limitations shown in the product. Maintain appropriate copies of important information. We will not use a beta label to avoid obligations that applicable law makes mandatory.
Suspension and termination
You may stop using the Services and terminate a subscription as your accepted commercial terms permit. We may restrict access when reasonably necessary to address a security threat, unlawful conduct, a material breach or an unpaid amount. Where practicable, we will explain the reason and provide a reasonable opportunity to cure. We may act immediately where delay would create harm or violate law. Export, account closure and deletion follow the applicable agreement and Privacy Policy, subject to security and legal restrictions.
Warranties and liability
To the extent permitted by law and except for express commitments in a signed agreement, the Services are provided as available, without implied warranties of merchantability, fitness for a particular purpose or noninfringement. Neither party is liable for indirect or consequential losses, lost profits or lost business opportunities arising from this agreement, to the extent permitted by law. This exclusion does not excuse either party's express data protection or confidentiality obligations.
Except for liability arising from fraud, willful misconduct, payment obligations, breach of confidentiality or data-protection obligations, or liability that cannot lawfully be limited, each party’s aggregate liability arising from these Terms is limited to the greater of the fees paid or payable for the affected Services during the twelve months before the event giving rise to the claim or USD 100. Any different liability provisions in a signed agreement control. These limitations apply only to the extent permitted by applicable law.
Changes and disputes
We will give reasonable notice of material changes, identify their effective date and request new affirmative acceptance when required. A website visit, cookie preference, prior invitation or prior login is not a recorded acceptance of a new agreement. Expanded connected-email permissions require the appropriate separate authorization. Published versions remain identifiable by their effective date.
Nevada law governs these Terms, without its conflict-of-law rules. Subject to mandatory legal protections and jurisdictional requirements, disputes may be brought in the state or federal courts serving Clark County, Nevada, and the parties consent to their jurisdiction. The parties should first try in good faith to resolve a dispute through their notice contacts. These Terms do not require arbitration or waive rights that applicable law makes nonwaivable.
